Field Work Project Agreement Terms

If you have questions about the standard terms in our Field Work project agreement, please speak with your contact at LOR as soon as possible. Field Work applicants who receive funding are referred to as Service Providers. Please be advised, approved projects will be funded in two equal parts. The second payment is contingent upon receipt of a completed Implementation Report demonstrating progress toward completion of the Project.

Project Terms
By accepting this funding from the LOR Foundation, you acknowledge and agree to the following:

Ability to Make Water Changes
Service Provider must have authority to make changes as articulated by the Project to the land and the use of water on that land, and the Project does not violate any applicable laws concerning land use or water use.

No Psychoactive Marijuana
Service Provider must not use this project to cultivate, process, or bring psychoactive marijuana to market.

Evaluation and Monitoring
In addition to the reporting requirements listed in the contract, the LOR Foundation may monitor, evaluate, and audit the results and operations under this Agreement. Such monitoring may include a visit from the LOR Foundation and its representatives to observe implementation of the Project, discuss the Project with you or your organization’s personnel, and review financial and other records and materials connected with the Project.

Press and Promotion
The LOR Foundation may refer to the Project and to any work products arising out of or resulting from the Project in the LOR Foundation’s publicity, press release, advertising, marketing, as a reference, or in other promotional materials.

Insurance
Service Provider agrees to maintain such insurance with one or more reputable insurance companies or self-insure in such amounts and covering such risks as is prudent and is usually carried by entities engaged in activities similar to Service Provider’s, including without limitation insuring against any or all claims under any workers’ compensation act or employer’s liability laws, and from any and all claims of whatsoever kind or nature for the damage to property or for bodily injury, including death, made by anyone, which may arise from the Project or any other operations carried on under this Agreement.

Confidentiality
Service Provider agrees to not disclose information about the LOR Foundation and its directors, officers, or employees, learned as part of any communication with the LOR Foundation, to any third party without the prior written approval of the LOR Foundation.

Work Product
Service Provider retains ownership of all right, title, and interest throughout the world in and to any inventions, discoveries, processes, techniques, methods, ideas, concepts, research, works of authorship, materials or other technology (collectively, “Technology”), and all other work product of any nature whatsoever, created, developed, authored, conceived, or reduced to practice by Service Provider in connection with the funding provided to Service Provider by the LOR Foundation (collectively, “Project IP”), including all patents, copyrights, trademarks (together with the goodwill symbolized thereby), trade secrets, know-how, other confidential or proprietary information, and other intellectual property rights (collectively “Intellectual Property Rights”) therein.

Service Provider hereby grants to the LOR Foundation, an irrevocable, non-exclusive, fully sublicensable (through multiple tiers of sublicensees), worldwide, royalty free, right and license under all of its Intellectual Property Rights to (if and as applicable) (i) use, reproduce, distribute, publicly perform, publicly display, maintain, modify, prepare derivative works of and disclose; (ii) make, have made, offer to sell, sell, and import all; and (iii) otherwise exploit all Project IP, in each case, in the Field (the “License”). “Field” means Scope of Work. To the extent Service Provider incorporates into any Project IP any Technology owned by a third party (“Third Party Materials”), Service Provider hereby grants and shall cause the LOR Foundation to have a perpetual, irrevocable, nonexclusive, freely transferrable, fully sublicensable (through multiple tiers of sublicensees), worldwide, royalty free, fully paid-up right and license to (if and as applicable) (x) use, reproduce, distribute, publicly perform, publicly display, maintain, modify, prepare derivative works of and disclose; (y) make, have made, offer to sell, sell, and import all; and (z) otherwise exploit such Third Party Materials, in each case, as necessary for the use of the Project IP in accordance with the License.

Governing Law
This contract shall be governed by the laws of the State of Wyoming applicable to contracts to be performed entirely within the state.

Indemnification
Service Provider irrevocably and unconditionally agrees, to the fullest extent permitted by law, to defend, indemnify, and hold harmless the LOR Foundation, its officers, directors, employees, and agents, from and against any and all claims, liabilities, losses, and expenses (including reasonable attorneys’ fees) directly, indirectly, wholly, or partially arising from or in connection with any act or omission of Service Provider, its employees, or agents, in carrying out the Project, except to the extent that such claims, liabilities, losses, or expenses arise from or in connection with any act or omission of the LOR Foundation, its officers, directors, employees, or agents.

No Agency
This contract shall not create any agency relationship, partnership, or joint venture between the parties, and Service Provider shall make no such representation to anyone.v

Tax Reporting Information
Service Provider shall provide the LOR Foundation with a properly completed Form W-9 for tax reporting purposes.

Remedies
If the LOR Foundation determines, in its sole discretion, that Service Provider has substantially violated or failed to carry out any provision of this Agreement, including but not limited to failure to submit reports when due, the LOR Foundation may, in addition to any other legal remedies it may have, refuse to make any further payments to Service Provider under this or any other agreement between the LOR Foundation and Service Provider, and the LOR Foundation may demand the return of all or part of the previous payments to Service Provider, which Service Provider shall immediately repay to the LOR Foundation. Service Provider must notify the LOR Foundation of any proposed changes to the Activities and Timeline or timing of the Project.
